The Group Strategy In May 1999, the Board of Governors of the African Development Bank Group (“the Bank”) adopted the Vision of the African Development Bank – A Re-Invigorated Bank: an Agenda for Moving Forward. This “Vision”, a product of extensive consultations with all of the Bank’s stakeholders on its mission stance, sets out the long-term strategic focus for the Bank The Organization The present Organization of the Bank is based on the reorganization of the Bank undertaken in 2001 and takes into account the different adjustments made hereafter. This describes the functions and responsibilities of the Bank's Organizational Units and its standing Committees. The activities of the Organizational Units are presented in detail at the level of division and have been validated by their respective managers before their finalization. Board of Governors The Board of Governors is the supreme organ. It is composed of ministers and high level officials of economic and financial institutions of member countries. Each member country is represented in the Board by a Governor and an Alternate subject to reappointment or to termination of appointment at any time by the appointing member country. Governors exercise the voting powers of their countries in the Board. Each member country in the ADB has an equal number of basic votes in addition to a number of votes proportional to its paid-in shares. No one member country nor group of countries has veto power; Board decisions are generally made through discussion and consensus rather than through the exercise of voting powers. The Board of Governors meets annually to review the implementation of past policy decisions and to deliberate on new policy issues initiated by them, the Board of Directors or by the Management of the Bank. Decisions on certain issues concerning the ADB are reserved for the Board of Governors. Among these are the admission of new members, increase in the capital stock, amendments to the Articles of Agreement and the election of the Board of Directors and the President. Boards of Directors THE AFRICAN DEVELOPMENT BANK (ADB) The Board of Directors for the African Development Bank (ADB) is composed of 18 members who are neither Governors nor Alternate Governors. Twelve members are elected by the Governors of regional countries and six by the Governors of non-regional member countries. Directors are elected for a term of three years renewable once. Each Director appoints an Alternate, but no Alternate, except the United States Alternate, may be of the same nationality as his/her Director. Members of the Board of Directors are responsible for the conduct of the general operations of the Bank. In this capacity, they exercise powers provided in the Articles of Agreement or other powers delegated to them by the Board of Governors from time to time. The Board of Directors is resident at the headquarters of the Bank and meets for business as often as the work of the Bank may require. Alternates may be invited to attend Board Meetings. Furthermore, the Board has created a series of permanent Committees. The purpose of these Committees is to review and discuss policy and programme documents submitted to them, and make appropriate recommendations to the Board. These Committees are: - Committee on Administrative and Human Resources Policy Issues; - Audit and Finance Committee; - Committee on Operations and Development Effectiveness; - Committee on Administrative Matters concerning the Boards of Directors; - Committee of the Whole on the Budget. THE AFRICAN DEVELOPMENT FUND (ADF) The Board of Directors of the African Development Fund (ADF) is composed of twelve Directors. The State Participants select six Directors and six Alternate Directors. The African Development Bank (ADB) designates six Directors and their Alternates from the Board of Directors of the Bank. The Board of Directors shall invite the other Directors of the Bank and their Alternates to attend meetings of the Board of Directors ( Fund ) as observers and any such Bank Director or, in his/her absence, his/her Alternate may participate in the discussion of any proposed project designed to benefit the country which he represents in the Board of Directors of the Bank. The term of office of Directors selected by State Participants is three years renewable once, but terminates whenever a general increase in subscriptions becomes effective. If the office of a Director becomes vacant before the expiration of his/her term of office, the vacancy is filled by a new Director selected by the State Participant or Participants whose votes his/her predecessor was entitled to cast. Such successor Director holds office for the remainder of the term of office of his/her predecessor. NIGERIA TRUST FUND (NTF) The African Development Bank manages the Fund, on a delegated basis, through its own organization, services, facilities, staff and such other experts and consultants as may be necessary. In the management of the Fund, the Bank consults regularly with the Nigeria's Governor for the Bank and obtains his/her agreement on the pipeline of projects. Each loan or other form of financing granted out of the resources of the Fund is approved by the Board of Directors of the Bank in accordance with the voting rules set forth in the Agreement establishing the African Development Bank in respect of its ordinary capital operations. Corporate Structure In accordance with article 4 of the Agreement establishing the African Development Bank, the Bank has a Board of Governors, a Board of Directors, a President, Vice Presidents (five to date) and officers. ADB Organization Chart ADB Organization Chart Organization Chart As of 10 November 2006 President Mr. Donald Kaberuka is the 7th elected President of the African Development Bank Group. He took the oath of office on September 1, 2005 in a ceremony at the institution’s Temporary Relocation Agency in Tunis. The occasion was witnessed by the Chair and members of the Bank’s Board of Governors, the Board of Directors, members of the diplomatic corps in Tunis and staff of the institution. “I solemnly declare and undertake…that I will abide by the provisions of the Agreement establishing the African Development Bank… and that I will discharge my duties and functions… with loyalty, discretion and conscience.” With those words, Mr. Kaberuka became the seventh elected President of the Bank for the next five years. As President of the Bank Group, Mr. Kaberuka is chairing the Boards of the African Development Bank and the African Development Fund, the soft loan arm of the Group. Review and Resolution Mechanisms To ensure appropriate accountability, transparency and respect for due process, the Bank has put in place review and resolution mechanisms to address operation- or staff-related matters. Operations The Boards of Directors of the African Development Bank and the African Development Fund approved, on 30 June 2004, the establishment of the Independent Review Mechanism (IRM), comprising the Compliance Review and Mediation Unit as its focal point and an independent Roster of Experts. Inspection Function for the African Development Bank Group Staff recourse The Staff Regulations, Staff Rules, Statute and Rules of Procedure of the Administrative Tribunal provide for recourse where staff members have a dispute with the institution. Staff Recourse Mechanisms Senior Management On 7th April 2006, the Board of Directors of the African Development Bank has approved a new organizational structure for the Bank (effective in July 2006), principally affecting the Operations Complexes and the Office of the Chief Economist. As a result, the President oversees : the Chief Economist, three Vice Presidents focused on Operations: Country and Regional Programs and Policy Vice President Sector Operations Vice President Infrastructure, Private Sector and Regional Integration Vice-President the Vice President, Finance, the Vice President, Corporate Services the Office of the Auditor General, the General Counsel and Legal Department, the Secretary General and the Ombudsman. The President will be supported in the leadership of the Bank by a strengthened office managed by the President’s Chief of Staff and Director of Cabinet.
